위약금 약정은 계약 당사자가 계약을 이행하지 아니할 때 손해배상 청구와 별도로 당사자들이 미리 정한 금액을 지급하기로 하는 계약입니다. 그 위약금을 계약불이행에 대한 징벌로 볼 것인지 아니면 계약불이행에 대한 손해배상의 예정으로 볼 것인지 문제됩니다.

 

먼저, 위약금 약정은 원칙적으로 손해배상액의 예정으로 추정됩니다(민법 제398조 제4). 위약금 약정을 '손해배상액의 예정'으로 보는 경우 법원은 약정된 위약금을 직권으로 감액할 수 있습니다(민법 제398조 제2).

, 위약금이 손해배상액의 예정이 아닌 위약벌로 해석되려면 이를 주장하는 측에서 '위약벌'이라는 특별한 사정을 입증해야 합니다.

계약 당사자가 채무를 이행하지 않을 때, 즉 계약을 위반하면 채무자가 채권자에게 손해배상과 별도로 지급하기로 약정한 사적인 벌금위약벌입니다. 계약위반시 손해배상으로 지급하기로 미리 약정한 손해배상액의 예정과는 구별됩니다. 위약벌은 계약위반으로 인한 손해배상액에 더해 추가로 지급해야 하는 위약금입니다.

 

손해배상액 예정에 관한 민법 제398조 규정은 다음과 같습니다. 1 "당사자는 채무불이행에 관한 손해배상액을 예정할 수 있다." 2"손해배상의 예정액이 부당히 과다한 경우에는 법원은 적당히 감액할 수 있다." 4 "위약금의 약정은 손해배상액의 예정으로 추정한다."

 

흔히 위약금이라는 제목으로 계약을 위반하면 얼마를 지급하기로 한다고 규정하면 민법 제398조 제4항에 따라 위약벌이 아니라 손해배상액의 예정으로 추정하고, 2항에 근거하여 법원에서 적절하게 감액하고는 합니다.

 

그런데, 명시적으로 "위약벌"이라는 표현을 사용하여 손해배상과는 별도로 부가하는 사적 벌금으로 얼마를 지급하기로 한다고 약정하였다면 그것은 손해배상액의 예정으로 볼 수 없습니다.

 

그와 같이 약정한 위약벌의 액수가 지나치게 과도한 경우가 문제입니다. 대법원은 위약벌은 감액할 수 없는 것이 원칙이지만 예외적으로 그 위약벌 계약조항 자체를 무효로 할 수 있다는 판결을 잇달아 내리고 있습니다.

 

대법원 201414511 판결에서는 손해배상액의 3배에 달하는 145억원을 위약벌로 지급한다는 조항은 무효라고 판시하였고, 최근 선고한 2015239324 판결에서도 다음과 같이 위약벌 조항을 무효로 할 수 있다고 판결하였습니다. 다만, 위약벌 금액이 많다는 사유만으로 계약조항을 함부로 무효로 판단해서는 안되고 신중하게 그 배경 등을 검토하여 예외적인 경우에만 무효로 할 수 있다고 판시하였습니다.

 

"위약벌의 약정은 채무의 이행을 확보하기 위하여 정하는 것으로서 손해배상의 예정과 다르므로 손해배상의 예정에 관한 민법 제398조 제2항을 유추 적용하여 그 액을 감액할 수 없고, 다만 의무의 강제로 얻는 채권자의 이익에 비하여 약정된 벌이 과도하게 무거울 때에는 일부 또는 전부가 공서양속에 반하여 무효로 된다.

 

그런데 당사자가 약정한 위약벌의 액수가 과다하다는 이유로 법원이 계약의 구체적 내용에 개입하여 약정의 전부 또는 일부를 무효로 하는 것은, 사적 자치의 원칙에 대한 중대한 제약이 될 수 있고, 스스로가 한 약정을 이행하지 않겠다며 계약의 구속력에서 이탈하고자 하는 당사자를 보호하는 결과가 될 수 있으므로, 가급적 자제하여야 한다.

 

이러한 견지에서, 위약벌 약정이 공서양속에 반하는지를 판단할 때에는, 당사자 일방이 독점적 지위 내지 우월한 지위를 이용하여 체결한 것인지 등 당사자의 지위, 계약의 체결 경위와 내용, 위약벌 약정을 하게 된 동기와 경위, 계약 위반 과정 등을 고려하는 등 신중을 기하여야 하고, 단순히 위약벌 액수가 많다는 이유만으로 섣불리 무효라고 판단할 일은 아니다."

1 (비밀정보)

        본 계약에서 "비밀정보"란 본 계약 체결 사실 자체 및 "목적사업"과 관련하여 양 당사자가 업무를 진행하는 과정에서 어느 일방 당사자가 반대 당사자에게 서면, 구두, 전자적 방법에 의한 전송 또는 기타의 방법으로 제공하는 모든 노하우, 기술, 공정, 도면, 설계, 디자인, 코드, 실험, 시제품, 스펙, 데이터, 프로그램, 명세서, 아이디어, 사업정보, 경영정보 등 일체의 정보로서 유무형의 여부 및 그 기록 형태를 불문하며, "비밀정보"를 제공하는 당사자는 "정보제공자", 비밀정보를 제공받는 반대 당사자는 "정보수령자"라 한다.

        "정보제공자" "정보수령자"에게 서면 제출, 메일 전송, 물품 인도 등 유형적인 형태로 "비밀정보"를 제공할 경우에는 그 제공 당시 "비밀" 또는 이와 유사한 표지에 의하여 그것이 "비밀정보"에 해당됨을 명확히 인지할 수 있도록 표시하여야 한다.

        "정보제공자" "정보수령자"에게 유형적인 형태 이외의 구두, 영상에 의한 방법 또는 시설, 장비 샘플 기타 품목을 관찰하거나 조사하게 하는 방법에 의하여 "비밀정보"를 제공할 경우, 그 제공 당시 "정보수령자"에게 그것이 "비밀정보"임을 고지하고, 고지한 때로부터 30일 내에 공개 범위, 공개 일자, 공개 장소 및 공개 대상자 등이 명시된 요약본을 서면 제출, 이메일 전송 등의 유형적인 기록 형태로 제공하여야 한다.

        본 조에 따른 "비밀정보"에 해당함에도 불구하고, "정보"제공 당시에 "비밀정보"에 해당됨을 명확하게 표시하지 못하였거나 "비밀정보"임을 고지하지 못한 때에는 "정보제공자"는 지체없이 "정보수령자"에 대하여 해당 "정보" "비밀정보"임을 고지함과 동시에 공개 범위, 공개 일자, 공개 장소 및 공개 대상자 등이 명시된 요약본을 서면 제출, 이메일 전송 등의 유형적인 기록 형태로 제공하여야 하고, 이때로부터 "비밀정보"로서 효력을 가진다.

 

2 (비밀정보의 제외 사유)

다음 각호에 해당하는 정보임이 객관적인 증거에 의하여 입증되는 경우에는 "비밀정보"에 해당하지 아니한 것으로 본다.

1.         "정보제공자"로부터 "비밀정보"를 제공받기 이전부터 "정보수령자"가 이미 알고 있었거나 보유하고 있던 정보

2.         "정보수령자"의 귀책 사유에 의하지 아니하고 공지의 사실로 된 정보

3.         "정보수령자"가 적법하게 제3자로부터 제공받은 정보

4.         "정보수령자" "비밀정보"를 이용하지 아니하고 독자적으로 개발한 정보 

5.         "정보제공자"가 비밀유지의 의무를 부담시키지 않고 제공한 정보

 

3 (비밀정보의 사용 제한)

        "정보수령자" "정보제공자"의 사전 서면 승인이 없는 한 "비밀정보" "목적 사업" 외의 다른 목적이나 용도로 사용할 수 없으며, "목적 사업"과 관련하여 사용할 경우에도 필요한 업무 수행의 범위를 초과하여 "비밀정보"를 임의로 복제, 수정, 저장, 변형 또는 분석하는 등의 행위를 할 수 없다.

        "정보수령자" "비밀정보"를 보호하고 관리하는 데에 필요한 모든 노력을 다하여야 한다. 다만, 천재지변, 화재, 전쟁, 혁명, 정부의 규제 등 불가항력적 사유에 의해 "비밀정보"가 유출된 경우에는 "비밀정보" 유출에 대한 책임을 부담하지 않는다.

        "정보수령자" "비밀정보"의 외부로의 누설 또는 "비밀정보"의 대내외적 오사용 등 침해 사실이 발견된 경우 즉시 "정보제공자"에게 서면으로 그 사실을 통보하고, "정보제공자"가 요구하는 적절한 조치를 취하여야 한다.

        "정보수령자" "목적 사업"을 위하여 "비밀정보"에 접근할 필요가 있는 자신의 관련 임직원(이하 "관련 임직원"이라 한다)으로서 첨부1 "관련 임직원 서약서" (이하 "서약서"라 한다)"에 서명 또는 기명날인을 한 "관련 임직원" 외에는 어떠한 제3자 에게도 "비밀정보"를 제공할 수 없으며, 본 계약 체결 후 "관련 임직원"이 추가된 경우 첨부 2 "관련 임직원 서약서(추가)" 양식에 그 "관련 임직원"의 서명 또는 기명날인을 추가로 받은 후 이를 "정보제공자"에게 제출한다.

        "정보수령자"가 위 제 4항의 "관련 임직원"을 제외한 제3자에게 "비밀정보"를 제공하기 위해서는 "정보제공자"의 사전 서면 승인을 받아야 하며, “정보수령자는 다음의 사항을 준수하여야 한다.

1. 해당 제3자와의 사이에 "정보제공자" "비밀정보"를 보호하는 내용의 비밀유지계약을 체결하여야 한다.

2. 3("비밀정보"에 접근할 필요가 있는 제3자의 임직원, 사용자를 포함한다)로부터 첨부3 "3자 서약서" 양식에 제3자의 서명 또는 기명날인을 받은 후 이를 보관하고 그 사본을정보제공자에게 제출하여야 한다

3. 3자에 의한 "정보제공자"의 비밀정보 누설, 유출 등이 발생하지 않도록 필요한 조치를 취하고 그에 대한 책임을 져야 한다.

 

4 (법원, 정부기관에 대한 제공)

        "정보수령자"는 법원 또는 정부기관으로부터 "비밀정보"의 제공을 요구받은 경우, 즉시 "정보제공자"에게 그 사실을 서면 통지하여 "정보제공자"가 적시에 적절한 보호 및 대응 조치를 취할 수 있도록 하여야 한다.

        "정보수령자"는 법원 또는 정부기관에게 "비밀정보"를 제공하여야 할 상황이 발생한 경우, i)법원 또는 정부기관이 "비밀정보"의 비공개 필요성에 대하여 납득하도록 충분히 노력하여야 하고, ii)이를 제공하여야 할 경우라도 법령에 따라 요구되는 필요 최소 한도 내에서 제공하여야 하며, iii)제공된 "비밀정보"가 법원 또는 정부기관에 의하여 비밀로 취급되도록 노력을 하여야 하고, iv)그와 같은 "비밀정보"를 보호하기 위한 "정보제공자"의 행위에 최대한 협조하여야 한다.

 

5 (계약 기간)

        본 계약은 계약 체결일로부터 5년 간(이하 "계약기간"이라 한다) 유효하다. , 본 계약상 비밀유지의무는 "계약기간"의 만료 등의 사유로 본 계약이 종료된 이후에도 2년 간(이하 "비밀유지기간"이라 한다) 유효하다.

        전항에도 불구하고 그 성질상 계속하여 효력을 유지하여야 할 조항은 본 계약이 종료되거나 "비밀유지기간"이 만료된 이후에도 계속하여 유효하다.

 

6 (보증)

        "정보제공자" "비밀정보"의 현상태 그대로 제공하며, "비밀정보"의 정확성 및 완전성이나 사업 목적에 대한 적합성 및 제3자의 권리침해 여부에 대한 어떠한 보증도 하지 않는다.

        "정보제공자" "정보수령자" "비밀정보"를 사용함에 따른 결과에 대하여 어떠한 책임도 지지 아니한다.

 

7 (비밀정보에 대한 권리귀속)

        "비밀정보"는 이를 제공한 자에게 소유권 및 지식재산권 등 일체의 권리가 있으며, 본 계약이 상대방에게 이러한 권리를 양도하거나 권리의 사용을 허락하는 것으로 해석되지 아니한다.

        "비밀정보"를 통하여 특허출원 등이 가능할 경우 특허 등을 출원할 권리는 "정보제공자"에게 있으며, "정보수령자"가 상대방으로부터 제공받은 "비밀정보"를 개량 기타 지적활동을 통하여 새로운 기술, 정보 및 지식재산권을 형성하고자 하는 경우 상대방의 사전 서면 동의를 얻어야 한다.

 

8 (비밀정보의 반환)

"정보수령자" i)계약기간의 만료 등의 사유로 본 계약이 종료된 경우, ii)"목적사업"이 종료 또는 중단된 경우, ⅲ)"정보제공자"가 언제라도 서면에 의하여 요구하는 경우에는 지체없이 "정보제공자"에게 "비밀정보"의 원본, 사본 및 "비밀정보"를 이용하여 생성한 서면, 자료, 데이터 등을 "정보제공자"의 선택에 따라 반환하거나 폐기하여야 하며, 폐기한 경우에는 그 때로부터 10일 내에 "정보제공자"에게 서면에 의한 확인서를 제출하여야 한다.

 

9 (손해배상)

        "정보수령자" "정보제공자"의 사전 서면 동의 및 본 계약에 따른 조치 없이 "비밀정보"가 제3자에게 공개, 제공 또는 누설된 경우 "정보제공자"가 입은 손해를 배상하여야 한다. 다만, 4조 제2항 단서의 경우에는 그러하지 아니하다.

        양 당사자는 본 계약의 위반이 상대방에게 회복할 수 없는 손해를 가할 수 있어 사후적인 금전적 배상만으로 충분하지 아니하며, 따라서 금전적 배상에 의한 법적 구제 수단에 앞서 가처분 등 적절한 법적 구제를 위한 절차에 있어 피보전권리, 보전의 필요성 등 제반 요건을 충족시킴을 인정한다.

        본 조 1항의 경우, "정보수령자"10억원에 해당하는 금원을 위약벌로 "정보제공자"에게 지급하여야 한다. 다만, "정보수령자"가 실제 지급한 위약벌 액수에 상응한 손해배상채무는 소멸한 것으로 한다.

 

10 (구속력)

        본 계약에서 명시한 경우를 제외하고는 본 계약의 이행 또는 "비밀정보"의 제공이 어떠한 경우에도 "정보제공자"가 자신의 현재 또는 장래의 영업비밀, 상표권, 특허권 기타의 권리에 대한 실시권, 사용권 등의 권리를 "정보수령자"에게 부여하는 것으로 해석되지 아니한다.

        본 계약은 어떠한 경우에도 양 당사자간에 어떠한 확정적인 후속 계약의 체결, 상품의 판매나 구입, 상호 지출한 비용에 대한 보상 등에 관한 내용을 암시하거나 이를 강제하지 아니하며, 기타 각 당사자가 제3자와 어떠한 거래 또는 계약 관계에 진입하는 것을 제한하지 아니한다.

 

11 (양도 금지)

각 당사자는 상대방의 사전 서면 동의없이 본 계약에 의하여 발생하는 권리, 의무의 전부 또는 일부를 제3자에게 양도, 위임, 위탁, 담보의 목적으로 제공하거나 기타 어떠한 처분 행위도 할 수 없다.

대법원 판례에서, 위약금은 민법 제398조 제4항에 의하여 손해배상액의 예정으로 추정되므로, 위약금이 위약벌로 해석되기 위해서는 특별한 사정이 주장, 증명되어야 하며, 계약을 체결할 당시 위약금과 관련하여 사용하고 있는 명칭이나 문구뿐만 아니라 계약 당사자의 경제적 지위, 계약 체결의 경위와 내용, 위약금 약정을 하게 된 경위와 교섭과정, 당사자가 위약금을 약정한 주된 목적, 위약금을 통해 이행을 담보하려는 의무의 성격, 채무불이행이 발생한 경우에 위약금 이외에 별도로 손해배상을 청구할 수 있는지 여부, 위약금액의 규모나 전체 채무액에 대한 위약금액의 비율, 채무불이행으로 인하여 발생할 것으로 예상되는 손해액의 크기, 당시의 거래관행 등 여러 사정을 종합적으로 고려하여 위약금의 법적 성질을 합리적으로 판단하여야 한다는 입장입니다.

 

, 위약금이 손해배상액의 예정이 아닌 위약벌로 해석되려면 이를 주장하는 측에서 '위약벌'이라는 특별한 사정을 입증해야 합니다.

 

당사자들이 채무불이행으로 인해 발생되는 금전적인 문제를 오로지 해당 위약금 약정에 근거한 구제수단만을 통해 해결하고 있다면 손해배상액의 예정으로 볼 수 있지만, 위약금 약정 뿐만 아니라 그 밖에 다른 구제수단을 예정하고 있다면 위약금 약정을 계약위반에 대한 징벌로서의 위약벌로 볼 수 있다는 판결입니다(대법원 2016. 7. 14. 선고 201382944 판결 참조).

13. CONFIDENTIALITY. 

13.1 Confidential Information, Defined; Exclusions. 

(a) Definition of Confidential Information.

The term “Confidential Information” means, with respect to a Disclosing Party, information and material, regardless of the form in which that information or material is constituted, any and all regulatory, technical, manufacturing, business, financial, operational, administrative, marketing or economic information, data, documents, designs, patents, materials, product samples, and Know-How asserted by such Disclosing Party as being confidential to it and disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, or in pictorial form in hard copy, electronic form or in any other form, in connection with the performance of this Agreement by the Parties, marked in English, or otherwise identified, as confidential or proprietary or secret. 

 

(b) Exclusions.

The term “Confidential Information” does not apply to any portion of information or materials that a Receiving Party can demonstrate by contemporaneous written records was: (i) known to the general public at the time of its disclosure to the Receiving Party, or thereafter became generally known to the general public, other than as a result of actions or omissions of the Receiving Party or anyone to whom the receiving Party disclosed such information or materials; (ii) known by the Receiving Party prior to the date of disclosure by the Disclosing Party; (iii) disclosed to the Receiving Party on an unrestricted basis from a source unrelated to the Disclosing Party and not under a duty of confidentiality to the Disclosing Party; or (iv) independently developed by the Receiving Party by personnel that did not have access to or use of Confidential Information of the Disclosing Party. Any combination of features or disclosures shall not be deemed to fall within the foregoing exclusions merely because individual features are published or known to the general public or in the rightful possession of the Receiving Party unless the combination itself and principle of operation thereof are published or known to the general public or are in the rightful possession of the Receiving Party. 

 

13.2 Degree of Care.

 

Each Party shall take Commercially Reasonable Efforts to maintain the confidentiality of the Confidential Information of the other Party, which steps shall be no less protective than those steps that such Party takes to protect its own information and materials of a  similar confidential nature, but in no event less than a reasonable degree of care. Neither Party shall use or permit the use of any Confidential Information of the other Party except for the purposes of carrying out its obligations or exercising its rights under this Agreement, and neither Party shall copy any Confidential Information of the other Party except as may be reasonably useful or necessary for such purposes. All Confidential Information of a Party, including without limitation all copies and derivations thereof, is and shall remain the sole and exclusive property of such Party and subject to the restrictions provided for herein. Neither Party shall disclose any Confidential Information of the other Party other than as permitted under this Agreement.

 

13.3 Required Disclosures.

 

The obligations of Sections 13.2 and 13.7 shall not apply to the extent that the Receiving Party: 

 (a) is required to disclose Confidential Information it receives pursuant to (i) an order of a court of competent jurisdiction, (ii) Applicable Laws, (iii) regulations or rules of a securities exchange, including without limitation as required in connection with a public offering of the Receiving Party’s stock or to comply with regulations imposed by the United States Securities and Exchange Commission, NASDAQ, or stock exchange disclosure requirements, or (iv) requirement of a governmental agency for purposes of obtaining approval to test or market the Product; provided that, in the case of clauses (i) through (iv) of this subsection (a), the Receiving Party shall provide prior written notice thereof to the Disclosing Party and, where practicable, reasonable opportunity for the Disclosing Party to review and comment on such required disclosure and request confidential treatment thereof or a protective order therefore in a reasonably timely manner, or 

 

(b) discloses such Confidential Information to Affiliates, potential or actual acquirers, merger partners, external advisors, licensees, sublicensees, assignees, subcontractors, investment bankers, investors, lenders, venture capital firms, investment bankers, or other potential financial partners, and their and each of the Parties’ respective directors, employees, contractors, and agents; provided that such any such person or entity listed in the first part of this subsection (b) agrees to confidentiality and nonuse obligations with respect thereto at least as stringent as those specified in Section 13.2. 

 

13.4 Permitted Disclosures.

 

At each Receiving Party’s request, the Disclosing Party shall review and approve in good faith the use by the Receiving Party any packet of Confidential Information of the Disclosing Party that the Receiving Party proposes to disclose, under commercially reasonable confidentiality obligations that are less stringent than those specified in Section 13.2 to actual or potential investment bankers, investors, lenders, venture capital firms, investment bankers, or other potential financial partners, and their and the Receiving Party’s respective directors, employees, contractors, and agents for purposes of raising capital. 

 

13.5 Irreparable Injury.

 

The Parties acknowledge that either Party’s breach of this Article 13 would cause the other Party irreparable injury for which it would not have an adequate remedy at law. In the event of a breach of this Article 13, the nonbreaching Party may seek injunctive relief, whether preliminary or permanent, in addition to any other remedies it may have at law or in equity, without necessity of posting a bond. 

 

13.6 Return of Confidential Information.

 

Each Receiving Party shall return or destroy, at the Disclosing Party’s instruction, all Confidential Information of the Disclosing Party in the Receiving Party’s possession upon termination or expiration of this Agreement, except any Confidential Information that is necessary to allow the Receiving Party to perform or enjoy any of its rights or obligations that expressly survive the termination or expiration of this Agreement. 

 

13.7 Public Disclosure. 

 

(a) The Parties agree that the initial public announcement of the execution of this Agreement shall be in the form set forth on Exhibit 13.7 (the “Press Release”). 

 

(b) During the term of this Agreement, in all cases other than the announcement set forth in the Press Release, Licensor and Licensee shall submit to each other in a reasonably timely manner for review and approval all proposed press releases involving medical or scientific information, academic, scientific, and medical Publications and public presentations, including without limitation any and all abstracts, public presentations at congresses or scientific meetings or other public meetings, and any Publication manuscripts, relating to the Product, the Nocturia Indication, the PNE Indication and any Additional Indication that have not been previously publicly disclosed and that are not otherwise permitted to be disclosed under this Article 13. Such review and approval shall be conducted in a timely manner for the purposes of preserving intellectual property protection and determining whether any portion of the proposed publication or presentation containing the Confidential Information of either Party should be modified or deleted. Notwithstanding the foregoing and for clarity sake, this provision shall not apply for any disclosures or releases required by the SEC or any other Regulatory Authority, which such disclosures and releases will be subject to Section 13.3. 

 

(c) Effect on Existing Confidentiality Agreement. The provisions of this Article 13 do not supersede that certain letter agreement, dated April 3, 2017, between Licensor and Licensee.

1. 계약조항 샘플

 

(비밀정보의 사용 제한 "정보수령자" "정보제공자"의 사전 서면 승인이 없는 한 "비밀정보" "목적 사업외의 다른 목적이나 용도로 사용할 수 없으며, "목적 사업"과 관련하여 사용할 경우에도 필요한 업무 수행의 범위를 초과하여 "비밀정보"를 임의로 복제, 수정, 저장, 변형 또는 분석하는 등의 행위를 할 수 없다.

 

"정보수령자" "비밀정보"를 보호하고 관리하는 데에 필요한 모든 노력을 다하여야 한다. 다만, 천재지변, 화재, 전쟁, 혁명, 정부의 규제 등 불가항력적 사유에 의해 "비밀정보"가 유출된 경우에는 "비밀정보" 유출에 대한 책임을 부담하지 않는다.

 

"정보수령자" "비밀정보"의 외부로의 누설 또는 "비밀정보"의 대내외적 오사용 등 침해 사실이 발견된 경우 즉시 "정보제공자"에게 서면으로 그 사실을 통보하고, "정보제공자"가 요구하는 적절한 조치를 취하여야 한다.

 

"정보수령자" "목적 사업"을 위하여 "비밀정보"에 접근할 필요가 있는 자신의 관련 임직원(이하 "관련 임직원"이라 한다)으로서 첨부1 "관련 임직원 서약서" (이하 "서약서"라 한다)"에 서명 또는 기명날인을 한 "관련 임직원" 외에는 어떠한 제3자 에게도 "비밀정보"를 제공할 수 없으며, 본 계약 체결 후 "관련 임직원"이 추가된 경우 첨부 2 "관련 임직원 서약서(추가)" 양식에 그 "관련 임직원"의 서명 또는 기명날인을 추가로 받은 후 이를 "정보제공자"에게 제출한다.

 

"정보수령자"가 위 제 4항의 "관련 임직원"을 제외한 제3자에게 "비밀정보"를 제공하기 위해서는 "정보제공자"의 사전 서면 승인을 받아야 하며, “정보수령자는 다음의 사항을 준수하여야 한다.

1. 해당 제3자와의 사이에 "정보제공자" "비밀정보"를 보호하는 내용의 비밀유지계약을 체결하여야 한다.

2. 3("비밀정보"에 접근할 필요가 있는 제3자의 임직원, 사용자를 포함한다)로부터 첨부3 "3자 서약서" 양식에 제3자의 서명 또는 기명날인을 받은 후 이를 보관하고 그 사본을 정보제공자에게 제출하여야 한다

3. 3자에 의한 "정보제공자"의 비밀정보 누설, 유출 등이 발생하지 않도록 필요한 조치를 취하고 그에 대한 책임을 져야 한다.

 

2. 실무적 포인트  

 

비밀정보 제공의 목적(통상적으로 평가/검토용도)을 명기하여, 제공비밀은 한정된 용도로 제공된 것이므로 일반적인 권리 허여가 배제된 것임을 입증키 위함. 이러한 규정에 따라 수령자는 제3자에 대한 공개금지 뿐만 아니라, 수령자 자신의 사용도 특정목적 외의 다른 용도로 사용할 수 없음.

 

평가용 비밀정보 유의사항:

 

) 통상 evaluation 목적에 한정됨에 유의하여, 수령자료·정보에 관한 marking 및 기록유지를 해야 한다.

 

ⅱ) 유사기술 단독 또는 타사와 연구개발진행 필요 시는 이에 관한 독립된 연구· 개발일지를 기록·관리하여야 한다.

 

ⅲ) evaluation 후 대상기술에 대한 수령자 검토의견의 명확한 회신이 있어야 하고, rejection 시 가급적 수령 기술 중 당사가 기보유한 기술 및 공지기술 등에 대한 범위설정을 하여 이에 관한 범위 및 근거를 거절서면에 서술하여 둠이 바람직하다.

 

수령자의 관리 의무 - 비밀유지정도 (Standard of Care):

 

통상적으로 수령자가 자신의 비밀을 유지하기 위하여 취하는 주의 정도에 한정하는 것이 관례임(, 최소한 reasonable degree of care 요구). 수령자에게 부과될 수 있는 구체적인 의무는 아래와 같은 항목이 있으나, 수령자는 자신의 내부 보안 규정이나 현실적 관행을 고려하여, 일반적인 주의로 관리 가능한 범위 내로 한정해야 한다.  

 

제공정보 / 자료의 기록 유지, ② 다른 영업비밀 / 자료와의 분리보관, ③ 내부사용자제한(need to know), ④ 사용자 및 사용 용도 / 시간기록, ⑤ 제공자 요구시 또는 NDA 해제 / 종료 시 자료 반환 또는 파기, ⑥ 사용자 개인별 기밀유지각서 확보

16. CONFIDENTIALITY. 

16.1 Confidentiality. 

During the Term and for a period of ten (10) years thereafter, each Party shall maintain in confidence all Information and materials of the other Party disclosed or provided to it by the other Party (either pursuant to this Agreement, or the Confidential Disclosure Agreement entered into by the Parties dated January 11, 2013 (the “Confidential Disclosure Agreement”) (together with all embodiments thereof, the “Confidential Information”).  Confidential Information also includes Information generated hereunder, and Information regarding intellectual property and confidential or proprietary Information of Third Parties, in each case as described by one Party to the other Party. 

 

In addition and notwithstanding the foregoing, any Information under Article 9 constituting Inventions and discoveries owned by one Party shall be deemed to be Confidential Information disclosed by such Party and received by the other Party, even if such Information is initially generated and disclosed by the other Party.  The terms and conditions of this Agreement and the Confidential Disclosure Agreement shall be deemed Confidential Information of both Parties. 

 

16.2 Degree of Care; Permitted Use. 

Each Party shall take reasonable steps to maintain the confidentiality of the Confidential Information of the other Party, which steps shall be no less protective than those steps that such Party takes to protect its own Confidential Information of a similar nature, and in no event less than a reasonable degree of care. 

 

Neither Party shall use or permit the use of any Confidential Information of the other Party except for the purposes of carrying out its obligations or exercising its rights under this Agreement or the Confidential Disclosure Agreement, and neither Party shall copy any Confidential Information of the other Party except as may be reasonably necessary or useful for such purposes. 

 

All Confidential Information of a Party, including without limitation all copies and derivations thereof, is and shall remain, as between the Parties, the sole and exclusive property of the disclosing Party and subject to the restrictions provided for herein.  Neither Party shall disclose any Confidential Information of the other Party to Third Parties, other than to those of its directors, officers, Affiliates, employees, actual or potential licensors, independent contractors, actual or potential Sublicensees, actual or potential assignees, agents and external advisors directly involved in or concerned with the carrying out of this Agreement, on a strictly applied “need to know” basis; provided, however, that such persons and entities are subject to confidentiality and non-use obligations at least as stringent as the confidentiality and non-use obligations provided for in this Article 16.  Except to the extent expressly permitted under this Agreement, the receiving Party may not use Confidential Information of the other Party in applying for Patents or securing other intellectual property rights without first consulting with, and obtaining the written approval of, the other Party (which approval shall not be unreasonably withheld, delayed or conditioned). 

 

16.3 Exceptions. 

The obligations of confidentiality and non-use set forth in Section 16.2 shall not apply to any portion of Confidential Information that the receiving Party or its Affiliates can demonstrate by contemporaneous written records was: (a) known to the general public at the time of its disclosure to the receiving Party or its Affiliates, or thereafter became generally known to the general public, other than as a result of actions or omissions of the receiving Party, its Affiliates, or anyone to whom the receiving Party or its Affiliates disclosed such portion; (b) known by the receiving Party or its Affiliates prior to the date of disclosure by the disclosing Party; (c) disclosed to the receiving Party or its Affiliates on an unrestricted basis from a source unrelated to the disclosing Party and not known by the receiving Party or its Affiliates to be under a duty of confidentiality to the disclosing Party; or (d) independently developed by the receiving Party or its Affiliates by personnel that did not have access to or use of Confidential Information of the disclosing Party. 

 

Any combination of features or disclosures shall not be deemed to fall within the foregoing exclusions merely because individual features are published or known to the general public or in the rightful possession of the receiving Party or its Affiliates unless the combination itself are published or known to the general public or are in the rightful possession of the receiving Party or its Affiliates. 

 

16.4 Permitted Disclosures. 

The obligations of confidentiality and non-use set forth in Section 16.2 shall not apply to the extent that the receiving Party or its Affiliates: (a) is required to disclose Information pursuant to: (i) an order of a court of competent jurisdiction; (ii) Applicable Laws; (iii) regulations or rules of a securities exchange; (iv) requirement of a governmental agency for purposes of obtaining approval to test or market Licensed Products, or maintaining Regulatory Approval of a Licensed Product; (v) disclosure of Information to a patent office for the purposes of filing a Patent as permitted in this Agreement; or (vi) the exercise by each Party of its rights granted to it under this Agreement or its retained rights; or

 

(b) discloses such Confidential Information solely on a “need to know basis” to Affiliates, potential and future collaborators (including without limitation Sublicensees), potential or actual acquirers, merger partners, licensees, or assignees permitted under Section 19.3, potential or actual Development collaborators, subcontractors, investment bankers, investors, lenders, or other potential financial partners, and their respective directors, employees, contractors and agents, provided that such Third Party or person or entity in subsection (b) agrees to confidentiality and non-use obligations with respect thereto at least as stringent as those specified for in this Article 14; provided that, in the case of (a)(i) through (iv), the receiving Party shall provide prior written notice thereof to the disclosing Party and provide the opportunity for the disclosing Party to review and comment on such required disclosure and request confidential treatment thereof or a protective order therefor; provided, however, that in connection with filings made pursuant to this Section 16.4 in connection with the transaction contemplated under this Agreement, Licensor shall redact from such filings terms and information as requested by Licensee so long as such redactions are not inconsistent with Applicable Law. 

 

16.5 Return of Confidential Information. 

Each Party shall return or destroy, at the other Party’s instruction, all Confidential Information of the other Party in its possession upon termination or expiration of this Agreement, or destroy such Confidential Information; provided, however, that each Party shall be entitled to retain one (1) copy of such Confidential Information of the other Party, (a) to the extent reasonably required to allow the relevant Party to carry out any remaining obligations under this Agreement or to exercise any of its rights that expressly survive termination or expiration of this Agreement, and (b) for legal archival purposes and/or as may be required by Applicable Law. The receiving Party shall provide a written confirmation of such destruction within thirty (30) days of such destruction. 

 

16.6 Public Disclosure. 

The Parties agree that Licensor’s initial announcement of the execution of this Agreement shall be in the form of a filing with the Korea Exchange that is mutually acceptable to each of the Parties and attached to this Agreement as Exhibit 16.6-1 (the “Filing”).  The Parties agree to release a limited joint press release upon the Effective Date, attached to this Agreement as Exhibit 16.6-2, (the “Press Release”) and a second joint press release upon the Closing; provided that the form and content of each joint press release shall be mutually agreed by the Parties.  Unless otherwise required by Applicable Laws, beginning with the initial announcement of the execution of this Agreement and continuing through the duration of the Term, in all cases other than the announcement set forth in the Filing, Licensor shall submit to Licensee for review and approval all proposed press releases, academic, scientific, and medical publications and public presentations relating to activities performed under this Agreement that have not been previously reviewed and approved by Licensee or disclosed. 

 

Such review and approval shall be conducted for the purposes of preserving intellectual property protection and determining whether any portion of the proposed publication or presentation containing the Confidential Information of Licensee should be modified or deleted, and to determine whether such disclosure is in the best interests of the Parties in connection with the Development of Licensed Products in the Territory. 

 

Written copies of such proposed publications and presentations (other than press releases) shall be submitted by Licensor to Licensee no later than thirty (30) days before submission for publication or presentation, and Licensee shall provide written comments, if any, within fifteen (15) days of receipt.  Unless otherwise required by Applicable Laws, written copies of proposed press releases shall be submitted to the other Party no later than four (4) Business Days before release and the receiving Party shall provide written comments, if any, within two (2) Business Days of receipt.
